1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the website(s), product demo(s), AI-powered workspace, and related services (collectively, the “Services”) offered by Masteryoda Solutions Pvt. Ltd. (doing business as “CUNE”) (“CUNE,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization:

• You agree to these Terms on behalf of that organization.

• You represent that you have the authority to bind that organization.

If you do not agree to these Terms, you must not use the Services.

2. Changes to the Terms

We may update these Terms from time to time.

• Updated Terms become effective when posted.

• Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

3. Eligibility and Accounts

Eligibility

• You must be at least 13 years old to use the Services.

• If you are under 18, you may use the Services only with parent or guardian involvement.

Accounts

You agree to:

• Provide accurate, current, and complete information.

4. Customer Agreements and Conflicts

If you or your organization have executed a separate agreement with us (e.g., a Master Services Agreement (MSA), Order Form, or Data Processing Addendum (DPA)), that agreement governs to the extent of any conflict with these Terms for the Services covered under that agreement.

5. Acceptable Use

Prohibited Activities

You may not:

• Copy, modify, host, sublicense, or resell the Services except as permitted.

• Access the Services to build a competing product or perform benchmarking without consent.

• Reverse engineer, decompile, decrypt, disassemble, or attempt to derive source code.

• Interfere with or disrupt the integrity or performance of the Services.

• Upload or transmit malware or destructive code.

• Use the Services to violate applicable laws or third-party rights.

• Bypass or circumvent security or rate-limiting measures.

• Misrepresent your identity or affiliation.

• Engage in high-risk use without appropriate human oversight.

6. Your Content and Customer Content

Customer Content

• Customer Content remains the property of the customer.

• We process it only as instructed and in accordance with the applicable agreement and DPA.

User Content

• Feedback or other content you provide is licensed to us for operating, maintaining, and improving the Services.

• You represent that you have all necessary rights to submit such content.

7. AI Features and Outputs

Important Information

• AI outputs may be probabilistic and may contain errors.

• Human oversight is required when using outputs.

• Customer Content is not used to train publicly available foundation models.

• Outputs are provided for informational purposes only and do not constitute professional advice.

8. Third-Party Services and Integrations

The Services may integrate with third-party products and services.

• Their use is governed by their own terms and privacy policies.

• We are not responsible for third-party services.

9. Intellectual Property

• The Services, documentation, and related intellectual property are owned by CUNE and its licensors.

• Except as expressly granted, no rights are transferred to you.

Feedback

We may use feedback without restriction or obligation.

Trademarks

All trademarks, service marks, and logos remain the property of their respective owners. No license is granted without written consent.

10. Confidentiality

If you receive non-public information from us that is marked confidential, you agree to:

• Protect it with reasonable care.

• Use it solely for accessing or using the Services.

11. Privacy

Our Privacy Policy explains how we collect and use personal information.

By using the Services, you acknowledge and agree to this processing.

12. Fees, Trials, and Taxes

If you purchase paid Services:

• You agree to pay all applicable fees.

• Fees are non-refundable unless required by law.

• You are responsible for applicable taxes.

We may suspend or terminate access for non-payment.

13. Service Changes; Beta Features

• Modify or discontinue the Services or features at any time.

15. Limitation of Liability

To the maximum extent permitted by law:

• CUNE will not be liable for indirect, incidental, special, or consequential damages.

• Aggregate liability is limited to the greater of:

  • (A) Fees paid in the past 12 months, or

  • (B) USD $1,000.

16. Indemnification

You agree to defend, indemnify, and hold harmless CUNE and its affiliates from any claims, damages, losses, or expenses arising from:

• Your Content

• Your use of the Services

• Your violation of law or these Terms

17. Export, Sanctions, and Anti-Corruption

You agree to comply with all applicable:

• Export control laws

• Sanctions regulations

• Anti-corruption laws

You confirm you are not restricted or prohibited under such laws.

18. Suspension and Termination

We may suspend or terminate your access if:

• You violate these Terms

• You pose a security or legal risk

• You fail to pay applicable fees

Upon termination:

• Your right to use the Services ceases immediately.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

• Courts located in Bengaluru, Karnataka, India have exclusive jurisdiction.

• Both parties agree to attempt good-faith discussions for 30 days before initiating legal proceedings.

21. Miscellaneous

• These Terms constitute the entire agreement between you and CUNE regarding the Services.

• If any provision is found invalid, the remainder remains in effect.

• You may not assign these Terms without our consent.

• We may assign these Terms in connection with a merger, acquisition, or sale of assets.

• These Terms do not create an agency, partnership, or joint venture relationship.
